6. ANNUAL MEETING

Rules for MLA Business Meetings

Rules governing the conduct of MLA business meetings are contained in the Association's bylaws and in the Association's parliamentary authority, Robert's Rules of Order. The more important points have been excerpted and are stated here. Helpful information from Roberts's Rules of Order is contained in Appendix 10.

From the Bylaws:

ARTICLE VI. MEETINGS

Section 6. Quorum

Two hundred and fifty (250) of the voting members of the Association shall be required for the transaction of business. For purposes of determining a quorum, a person eligible to cast two votes shall be counted as two voting members.


From the Special Rules of Order:

Section 1. Voter Identification

To facilitate the counting of votes, the Executive Director shall provide easily seen voter identification to all and only eligible voters attending the meetings.

Section 2. Order of Business

The order of business at the business sessions of the Annual Meeting shall be at the discretion of the presiding officer but the business shall include:
  • Approval of minutes of the Annual Meeting;

  • Reports from the Board of Directors, Executive Director, other appointed officers, and committees and Representatives;

  • Action on amendments to the bylaws when due notice has been given;

  • Announcement of election results with identification of new officers and members of the new Nominating Committee;

  • New business.

At the Annual meeting, a voting member may offer a complex motion introducing a new item of business only if written copies have been distributed at or before the meeting to each voting member present or by unanimous consent of voting members present.
